Where are the shares issued by Sanepar traded?

The shares issued by Sanepar are traded on B3 (former BM&FBovespa) under the codes "SAPR3", "SAPR4" and "SAPR11". They are listed in Level 2 of Corporate Governance.

What are the types of shares issued by Sanepar and its characteristics?

Currently, there are three assets traded on B3:

  • Common Shares (ON): SAPR3
  • Preferred Shares (PN): SAPR4
  • UNITS: SAPR11 - Units are assets composed of more than one class of securities traded together. In the case of Sanepar, each Unit consists of one common share and four preferred shares. Units are purchased and / or sold on the market as a unit.

Why were Units established?

In order to meet the shareholders' request, Sanepar undertook the Units formation process that resulted in the trading of them in B3, providing greater liquidity to the common shares, which were mostly held by the controlling shareholder.

Can I turn my preferred and common shares into Units? And the reverse?

Yes, this transformation is possible at any time, but the ratio of preferred and common shares that make up an Unit must be is respected. In order to carry out the reverse stock split, it is necessary to have the amount established for each Unit and request the grouping from its broker who will take the necessary steps with B3. Sanepar do not manage this operation.

Does Sanepar have ADRs?

To date, Sanepar do not trade ADRs on US stock exchanges.

What is the dividend policy followed by Sanepar?

Sanepar's dividend policy can be consulted by accessing the item "Bylaws, Codes and Policies" in the "Corporate Governance" menu of the Company's IR website. It is important to note that in the last 7 dividend distributions the Company distributed 50% of its adjusted net profit. The Dividend Policy settles that, according to the Bylaws, the portion referring to the mandatory dividend may not be less than 25% of the adjusted net profit pursuant to article 202 of the Brazilian Corporation Law. Furthermore, the Company may approve the distribution, as an additional dividend and/or Interest on Equity up to a further 25% of net income in addition to the annual dividend, subject to the financial health and the public interest that motivated the Company's constitution.

Is tag along provided for by the Company's Bylaws?

Yes. The tag along policy of 100% for both common and preferred shares is an obligation of the Company, as it is listed in Level 2 of Corporate Governance of B3. Also, there is this statement in Chapter VIII, art. 82 and art. 83 of the Company's Bylaws.

I am a shareholder of Sanepar. How can I access the Earnings Report for my shares?

The Income Report for the Company's shares is sent via the Post Office to all shareholders or their proxy with a current valid register at Itau Corretora de Valores, our current bookkeeper responsible for sending it. The update of this register can be done in your brokerage house. If the shareholder is an account holder of Banco Itau, you can withdraw your report by accessing your checking account. Otherwise, it is possible to make a specific registration at Itau Corretora (only to obtain the document). If unsuccessful, please contact the IR team.

What is Sanepar's material facts disclosure policy?

You can access the Company's material facts disclosure policy through the item "Bylaws, Codes and Policies" in the menu "Corporate Governance".

How can I register on Sanepar's IR mailing list, so that I can access the notices to the market, the material facts and the notices to shareholders?

How does Sanepar broadcast its teleconferences? How often? Can I access the audios and the presentation of the previous teleconferences?

On a quarterly basis, Sanepar presents its results to all interested parties (in Portuguese or English). The tracking link and information regarding the conference calls are available on the Company's IR homepage. To access the audios and the presentations of the conference calls, access the item "Results Center" in the "Notices and Results" menu.

I am currently a shareholder of the Company. Is there an event for me to know the operation and structure of Sanepar?

Yes. The Company annually promotes Sanepar Day, an event aimed at shareholders, investors, analysts and other professionals so they can visit us and get to know the structure of Sanepar. In 2018, Sanepar Day took place on 06/06/2018.

Where and when does Sanepar promote the Annual Public Meeting with analyst and investors?

Every year, Sanepar promotes its Public Meeting with analysts, investors and shareholders together with APIMEC. In the last two years, the Public Meeting took place in São Paulo, on 08/11/2017 and on 08/14/2018.

How much does the city of Curitiba represent in the total revenue of Sanepar?

Currently, 24.3% of Sanepar's total revenue comes from the Curitiba concession. It is possible to monitor these data for Curitiba and other major cities through the Press Release, published quarterly.

How is Sanepar's tariff calculated?

Our tariff is calculated based on the incentive regulation regime, which provides more appropriately the remuneration for prudent investments and the incentive to maintain efficient operating costs, enabling productivity gains (X-Factor) and their consequent sharing with the consumer. A new tariff is established for each Periodic Tariff Review (RTP), observing the tariff modality and the maintenance of the economic-financial balance of the concession, being this one of the adjustment procedures of the tariff components that can also be corrected through an Extraordinary Tariff Review (RTE) and also adjusted through the application of an IRT. Better details can be checked in the "Regulation" menu.

Does Sanepar take part in any PPPs (Public-Private Partnerships)?

Yes. There is a PPP on the coast of the state, in conjunction with the company SLP. This PPP was responsible for the necessary constructions (lift stations, treatment stations, etc.) to provide sewage services.

In addition, shortly, notices will be issued about the launching of studies in 110 cities in the State of Parana to analyze the possibility of implementing new PPPs in order to expand the service with sewage collection and treatment systems in the State of Parana.
